The Standard Capital Series A
Standard Capital uses a set of pre-negotiated documents to streamline the Series A funding process. These documents are designed to have a balanced and consistent set of terms, ensuring that both founders and Standard are well-represented. The Y Combinator SAFE was incredibly successful at streamlining seed fundraising, and we believe standard Series A documents will similarly streamline priced round financings.
In general, we do not negotiate on these documents—that’s part of how we make the process efficient. We have completed several financings using these documents and so they have been battle tested by founders and lawyers. As we fund more companies, we’ll likely make changes as time goes on based on learnings and feedback we receive.
The benefits of standardized terms are numerous: faster closings, lower legal fees, and the confidence that both parties are treated consistently and fairly.
Standard Capital believes that it should be normalized for founders to see the full set of priced round documents before signing a term sheet. If an investor is unwilling to share these documents ahead of signing a term sheet, it’s worth asking why.
